It works the same way as lollies at the supermarket checkout. You were not going to buy a lollie, but since they were there you grabbed one anyway. Why not? Subscribing to your opt-in list is free, right? In addition, you should offer some valuable gift items just for subscribing to make it more attractive.
However, pop-up window IS annoying to many people. You have to be very careful while using it.
First of all, it's a good idea to make it come up on exit so that visitors are not immediately hit with it when they enter into your site. Personally, my first reaction to this kind of right-at-front-door pop-ups is, always, close it before it is loaded.
Let your visitors know a little about your site first, then ask them to subscribe to your list.
Secondly, have it controlled with a cookie so that visitors get it just once within any single day (or three or five days, you can set the number of days), no matter how many times they exit your pages.
This is especially important if you are going to add the same pop-up to many pages of your site (Yes, you should do that since visitors may land at any page of your site from search engines. Don't assume visitors will enter your site at home page). By setting a cookie, visitors will not be bothered by pop-ups when they surf within your site.

Don't see it? That's because you must have been to my site in the last three days. I don't want to keep bothering my visitors. It only pops up to visitors the first time they visit my site within any three days.
Sounds complicated? Not really. You can easily set it up in 5 minutes.
First you need to make up a new web page, with a simple
message you want the popup on exit window to contain. For example,

Secondly, put the JavaScript code below in your HTML. The script is
controlled by a cookie, so your visitors are not hassled every time
they click on another page within your site or when they revisit your
site within 3 days.

Lastly, you need to add a body OnUnLoad attribute in your body tag like so:
And you're done!
Actually there are more window properties you can control: pop up or pop under, position of the window, whether you want location bar, scroll bar, menu bar, status bar or not, load automatically or with a link, close window link or button...
